Job Description
Direct Counsel has partnered with an AmLaw 100 firm that is seeking a junior associate to join its Business Group in Atlanta. This position offers the opportunity to work within a robust practice focused on mergers and acquisitions and general corporate transactions. The associate will collaborate with a team known for combining extensive corporate experience with in-depth regulatory knowledge to represent entities in the insurance and financial services industries.
This role is ideal for an attorney early in their career who is eager to gain hands-on experience in complex M&A transactions while building a strong foundation in corporate law. The associate will be actively involved in due diligence, drafting and negotiating key transaction documents, coordinating closings, and addressing post-closing matters, all within a supportive, collaborative environment.
Key Qualifications:
1–2 years of experience handling a wide variety of M&A transactions
Background in due diligence, drafting and negotiating transaction documents, and coordinating closings
Working knowledge of corporate law, including choice of entity, formation, and governance
Experience in other transactional matters (e.g., joint ventures, commercial contracts) is a plus
J.D. from a nationally recognized and accredited law school with a strong academic record
Admission to the Georgia Bar, eligibility to waive in, or willingness to sit for the Georgia Bar Exam
Ideal Candidate Profile:
Strong project management skills and ability to balance multiple priorities
Exceptional legal research, writing, and communication skills (law review or comparable experience a plus)
Collaborative mindset with excellent judgment and client service skills
Ability to thrive in a fast-paced environment while maintaining attention to detail
