Private Equity/M&A Associate Attorney

Location: New York, NY

Base Salary Range: $270,000 – $375,000+

Our client, a top-tier international law firm recognized for its excellence in client service, workplace culture, and industry leadership, is seeking an Associate or Of Counsel attorney to join its growing Private Equity and M&A practice in New York. The firm has received consistent recognition for workplace culture, diversity, and pro bono commitment-including Mansfield Certification Plus status and a perfect score on the Corporate Equality Index.

This is a hybrid role, combining in-office and remote work.

Key Qualifications:

• J.D. from an accredited law school with strong academics
• 3+ years of experience advising private equity firms and portfolio companies on complex transactions, including M&A, LBOs, and equity investments
• Skilled in drafting and negotiating purchase agreements, LLC/LP agreements, and related documents
• Familiarity with incentive equity and co-investment terms; fund structure knowledge a plus
• Admission to the New York Bar
• Class years: 2021 – 2016

Responsibilities:

• Advise private equity clients and portfolio companies on sophisticated transactional matters
• Draft, review, and negotiate principal agreements and ancillary documentation
• Lead due diligence and oversee related legal processes
• Structure and advise on incentive and co-investment arrangements
• Coordinate cross-border deal elements with colleagues in other jurisdictions
